Healthcare technology company Allscripts signed a definitive agreement to acquire Practice Fusion.

1. Allscripts plans to acquire Practice Fusion for $100 million. The transaction is subject to adjustments for working capital and net debt.
2. After the acquisition is complete, Allscripts plans to combine Practice Fusion with its existing payer and life sciences business. The company also plans to expand its big data insights and analytics, data sharing technologies and clinical trial solutions in the future.
3. Practice Fusion's cloud-based EHR is targeted to small, independent physician practices. The company supports around 30,000 ambulatory practices and 5 million patient visits per month. The technology complements Allscripts' existing ambulatory clinical portfolio.
4. Allscripts intends to fund the purchase with existing secured credit facilities and cash balances.
5. The transaction is expected to close in the first quarter of 2018.
