Ownership of KY Surgery Center to be Transferred Between Competing Health Systems

The ownership interest in Louisville Orthopaedic Surgery Center in St. Matthews, Ky., held by Louisville, Ky.-based Jewish Hospital & St. Mary's HealthCare, will be transferred to Louisville-based Baptist Healthcare System, according to a Courier Journal report.

The ownership transfer of the ambulatory surgery center between the rival health systems comes after Baptist agreed in late August to provide a site for University of Louisville physicians to perform tubal ligations. The deal solved a significant problem facing the merger of three Kentucky health systems — Jewish & St. Mary's, University Hospital and St. Joseph Health System — which will be controlled by Denver-based Catholic Health Initiatives. The system created by the merger will operate under Catholic rules, which prohibit sterilization. University of Louisville physicians currently perform tubal ligations at University Hospital.

The transfer of ownership in the ASC is expected to take place Jan. 1, 2012, the day after the merger is projected to become final.

Officials from Baptist and Jewish & St. Mary's declined to say whether the transfer of ownership was related to the tubal-ligation agreement, and the terms and conditions of the transaction are confidential, according to the report.

The ASC is currently part of medical practice Louisville Orthopaedic Clinic. After the ownership transfer, Baptist and Louisville Orthopaedic will be partners in the surgery center.
